Terms of Service

1. Parties and Definitions

AgoroX Technologies (“we”, “us”, or “our”), a technology business founded and operated by John Ipadeola in Nigeria, provides the SmartInvoice Pro platform.

"SmartInvoice Pro" means the web-based invoicing Progressive Web Application (PWA) available at smartinvoice.agorox.africa and any related services.

"You" or "User" means any individual or business that accesses or uses SmartInvoice Pro.

2. Licence and Access

SmartInvoice Pro operates on an annual software licence model. You must purchase a valid licence to unlock full functionality beyond the 5-invoice demonstration limit.

Licence Plans

• Micro SME · ₦12,500/year, 1 device
• Medium SME · ₦19,500/year, up to 2 devices
• Growth · ₦27,500/year, up to 5 devices

Licences are non-transferable and valid for the device(s) specified by the plan. Licence keys may not be shared, sold, or distributed.

3. Payments and Refunds

All payments are processed securely by Paystack, a licensed payment processor. AgoroX Technologies does not store your card details.

Licence fees are billed annually and are non-refundable except where required by applicable Nigerian consumer protection law. If you experience a payment failure or do not receive your licence key, contact support within 7 days.

Prices are subject to change. You will be notified at least 30 days before any price increase affecting your renewal.

4. Your Data

SmartInvoice Pro is designed with privacy first:

• Your invoices, customers, and business data are stored on your device in browser localStorage and are never transmitted to our servers.
• Your business logo, signature, and NQR code are uploaded to secure Cloudflare R2 cloud storage for cross-device availability.
• Your account information (name, email, password hash) is stored in our database.
• Payment transactions are recorded for licence validation and agent commission tracking.

We do not sell, rent, or share your data with third parties except as required for payment processing (Paystack) and email delivery (Resend).

5. Agent Programme

The SmartInvoice Pro Agent Programme allows registered agents to earn 10% commission on sales referred via their unique referral link.

• Minimum payout threshold: ₦5,000
• Payouts are processed manually by AgoroX Technologies to the agent's nominated bank account
• Commission is credited after the referred payment clears and is not revoked unless fraud is established
• We reserve the right to terminate an agent account for fraudulent activity, abuse, or misrepresentation

6. Acceptable Use

You agree not to:

• Use SmartInvoice Pro for fraudulent, deceptive, or unlawful invoicing
• Reverse engineer, decompile, or attempt to extract the source code
• Resell or sublicense access to SmartInvoice Pro
• Use the platform in violation of any applicable Nigerian law, including the FCCPC Act and NDPR

7. Intellectual Property

SmartInvoice Pro, its design, code, logo, and all associated content are the intellectual property of AgoroX Technologies and John Ipadeola. All rights reserved. No part of the platform may be reproduced without express written permission.

8. Disclaimer of Warranties

SmartInvoice Pro is provided “as is” without warranties of any kind. We do not warrant that the service will be uninterrupted or error-free. You use the platform at your own risk.

AgoroX Technologies is not responsible for any financial loss arising from invoicing errors, data loss, or payment disputes between you and your customers.

9. Limitation of Liability

To the fullest extent permitted by Nigerian law, AgoroX Technologies shall not be liable for any indirect, incidental, or consequential damages arising from your use of SmartInvoice Pro. Our total liability for any claim shall not exceed the amount you paid for your licence in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to SmartInvoice Pro at any time if you breach these Terms. Upon termination, your licence is revoked. Your locally stored invoice data remains on your device and is not deleted by us.

11. Changes to Terms

We may update these Terms from time to time. Changes will be communicated via the app or email. Continued use of SmartInvoice Pro after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Oyo State, Nigeria.
